1. Introduction and Acceptance

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Einfoway Consultancy Services, a partnership firm registered in Mumbai, India ("Company", "we", "us", "our"), the owner and operator of the Wevanta platform accessible at www.wevanta.com and its related web and mobile applications (collectively, the "Service" or "Platform").

By accessing, registering for, or using the Service in any manner, you expressly agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the Service.

These Terms, together with our Privacy Policy (www.wevanta.com/privacy), constitute the entire agreement between you and the Company.

2. Definitions and Interpretations

For the purposes of these Terms:

• "Account" means the user account created by you to access the Service
• "Content" means all data, information, documents, and materials uploaded, entered, or generated through the Service
• "Financial Data" means investment holdings, portfolio information, transactions, valuations, and related financial information
• "Subscription" means the paid access plan selected by you
• "User Content" means all data, information, and materials provided or uploaded by you

Unless the context requires otherwise, words in the singular include the plural and vice versa. Headings are for reference purposes only and do not affect interpretation.

3. Eligibility and User Representations

3.1 Legal Capacity

You represent and warrant that:

• You are competent to contract under the Indian Contract Act, 1872
• You are at least 18 years of age
• If you are a minor, you are using the Service under the supervision of a parent or legal guardian who has accepted these Terms
• If you are using the Service on behalf of an entity, you are authorized to bind that entity to these Terms

3.2 Compliance

You agree that your use of the Service complies with all applicable laws, regulations, and these Terms.

3.3 Third-Party Data

If you provide personal or financial data of any third party (including family members), you represent that you have obtained all necessary consents and authorizations to provide such data and to allow us to process it in accordance with our Privacy Policy.

3.4 Jurisdictional Use Restriction

You agree not to use the Service in any jurisdiction where such use would violate applicable laws, regulations, sanctions, or compliance requirements.

4. Description of Service

4.1 Nature of Service

Wevanta is a financial data aggregation, tracking, analytics, and visualization platform designed to help users organize, monitor, and analyze their financial information across multiple asset classes.

The Service includes, but is not limited to:

• Net worth tracking and portfolio aggregation
• Multi-asset class portfolio tracking (equity, mutual funds, debt, real estate, gold, etc.)
• Financial analytics, dashboards, and insights
• Goal tracking and financial reminders
• Secure document vault and storage
• Data import and export capabilities
• AI-powered informational insights and summaries

4.2 What the Service is NOT

Wevanta does not and will not:

• Execute, facilitate, or intermediate financial transactions of any kind
• Hold, custody, or manage funds or securities
• Provide investment advisory, wealth management, or portfolio management services
• Act as a broker, dealer, financial advisor, or intermediary regulated by SEBI, RBI, or any other regulatory authority
• Provide tax, legal, or accounting advice

5. No Financial Advice — Critical Disclaimer

5.1 Informational Purpose Only

The Service is designed solely for informational, organizational, and analytical purposes. All features, outputs, analytics, insights, summaries, reports, calculations, valuations, informational outputs, analytics, system-generated insights, and other information generated by the Service (including those generated through automated processing, algorithms, or AI) are:

• Informational in nature only
• Not financial, investment, tax, legal, or professional advice
• Not directions or prompts to buy, sell, hold, or transact in any security, investment, or financial instrument
• Not a substitute for professional advice from qualified advisors

You agree that you will not rely solely on the Service for making financial, investment, tax, or legal decisions.

5.2 Regulatory Status

Wevanta and Einfoway Consultancy Services are NOT registered with:

• Securities and Exchange Board of India (SEBI) as an investment advisor, portfolio manager, research analyst, or any other regulated entity
• Reserve Bank of India (RBI) as a non-banking financial company or payment service provider
• Insurance Regulatory and Development Authority of India (IRDAI)
• Any other financial or regulatory authority in India or abroad

5.3 User Responsibility

You acknowledge and agree that:

• You are solely responsible for all investment, financial, and other decisions you make
• You must consult qualified, SEBI-registered investment advisors, tax professionals, and legal counsel before making any financial decisions
• Any reliance you place on information, analytics, or outputs from the Service is strictly at your own risk
• The Company shall have no liability for any decisions you make based on the Service

5.4 No Performance Guarantee

The Service does not guarantee, warrant, or promise any financial outcomes, investment performance, returns, tax savings, or other benefits.

6. User Responsibilities and Obligations

6.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials (username, password, authentication tokens) and all activities conducted through your Account. Immediately notify us at support@wevanta.com if you suspect unauthorized access.

6.2 Data Accuracy

You are responsible for ensuring that all data you provide is accurate and complete. You must independently verify all financial data, calculations, and analytics displayed by the Service before relying on it.

6.3 Permitted Use

You agree to use the Service only for personal, non-commercial use to track and analyze your own financial information (or that of family members with proper consent).

6.4 Prohibited Conduct

You agree NOT to use the Service for any unlawful purpose, attempt to gain unauthorized access, reverse engineer the platform, use automated bots/scrapers, or interfere with other users' access.

7. Data Accuracy, Sources, and Limitations

7.1 Data Sources

Financial data may originate from manual entries, user-uploaded files, third-party data providers, APIs, and integrations.

7.2 No Warranty of Accuracy

We do not warrant the accuracy, completeness, or timeliness of any data, including security prices, FMV, NAV, corporate actions, or performance metrics like XIRR/CAGR.

7.3 Third-Party Data Limitations

We are not responsible for inaccuracies or interruptions in third-party data feeds from providers we rely upon.

7.4 User Verification Requirement

You must independently verify all data and reports before relying on them for tax filing or financial planning.

8. Automated Processing and AI Transparency

Some features involve automated processing using algorithms and AI. Such outputs are informational only, subject to inherent limitations/biases, and require your independent judgment.

9. Privacy and Data Handling

Your use of the Service is governed by our Privacy Policy. While we implement industry-standard security, you are responsible for backing up important data and understanding internet transmission risks.

10. Account Registration and Access

You must provide accurate info during registration and keep credentials confidential. By creating an account, you consent to receive service-related communications.

11. Subscriptions, Billing, and Payments

Paid features require a Subscription. Fees are exclusive of taxes, charged in advance, and non-refundable. Subscriptions renew automatically unless cancelled before the end of the billing period.

12. Data Retention, Deletion, and Portability

We retain data as long as needed for service or legal compliance. You may request account deletion at any time via privacy@wevanta.com, subject to a 24-hour grace period.

13. Third-Party Services and Integrations

Your use of third-party integrations (e.g., Google OAuth, bank feeds) is subject to their own terms. We are not responsible for their accuracy, security, or practices.

14. Intellectual Property Rights

All software, design, branding, and proprietary features are owned by Einfoway Consultancy Services. You are granted a limited, revocable license for personal use only.

15. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted, error-free, or secure operation of the Service.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. Our total aggregate liability is limited to the amount paid by you in the preceding 12 months (or INR 1,000 if no fees were paid).

17. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or expenses arising from your use of the Service, violation of terms, or User Content.

18. Force Majeure

We are not liable for delays or failures resulting from events beyond our control, including natural disasters, pandemics, or internet outages.

19. Modifications to the Service and Terms

We reserve the right to modify features or pricing at any time. Material changes to these Terms will be notified to you, and continued use constitutes acceptance.

20. Termination

We may terminate your account immediately for breach of terms, illegal activity, or non-payment. Upon termination, your right to use the Service ceases immediately.

22. Governing Law and Dispute Resolution

These Terms are governed by Indian law. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

23. Miscellaneous Provisions

These Terms and the Privacy Policy constitute the entire agreement. If any provision is found invalid, the rest remain in effect. You may not assign your rights without our consent.
